LEAD: The Circle K Corporation said it had received a letter of intent from Texaco Refining and Marketing Inc. under which the Texaco Inc. unit would buy 25 Circle K stores in Hawaii for $29.5 million. Texaco also agreed to assume certain of the stores' debt obligations, Circle K said. The agreement remains subject to certain conditions, including the execution of a definitive agreement.

LEAD: The James River Corporation has agreed to sell its Nonwovens Group to Holzstoff Holding A.G. of Basel, Switzerland, for $175 million. The sale is expected to conclude before the end of March.
