AMERICAN GREETINGS AND HALLMARK SETTLE DISPUTES

The American Greetings Corporation and Hallmark Cards Inc. said yesterday that they had settled disputes over patents used to allow customers to create greeting cards with in-store computers. The disputes began in 1992, when American Greetings and closely held Hallmark began to contest the ownership and validity of patent claims for on-site personalized greeting card machines. The agreement gives each company a worldwide nonexclusive license to use the patent claims.

MANVILLE CONSIDERS ALTERNATIVES FOR RIVERWOOD STAKE

The Manville Corporation said yesterday that it was considering various alternatives for its 81.5 percent stake in the Riverwood International Corporation, including its possible sale. Manville said it had hired J. P. Morgan & Company, the financial adviser to Manville and Riverwood, to help in the review. It also said that Goldman, Sachs & Company, which has served as financial adviser to the Manville Personal Injury Settlement Trust, would assist in the review. The sale or merger of Riverwood, based in Atlanta, would require that Manville, based in Denver, and Manville Personal Injury Settlement Trust resolve issues relating to the contractual relationships between them. The trust holds about 78 percent of the outstanding common stock of the building products company. The trust was set up in 1986 to handle personal injury claims against Manville and its predecessor, the Johns Manville Corporation, related to its asbestos products.

CHAMPION HEALTHCARE GETS HEALTHTRUST HOSPITAL

The Champion Healthcare Corporation said yesterday that it had completed its acquisition of the 200-bed Salt Lake Regional Medical Center and five associated clinics from Healthtrust Inc. for an undisclosed amount. Healthtrust, based in Nashville, received Federal Trade Commission approval to sell the Salt Lake City hospital to Champion, which is based in Houston, on April 10. The sale of the hospital was required by the F.T.C. to resolve antitrust concerns that Healthtrust's acquisition last year of Holy Cross Health Services of Utah would reduce competition for hospital services in Salt Lake City.

CROWN RESOURCES STOCK RISES ON OFFER

Shares of the Crown Resources Corporation gained $1.25 yesterday, to $5, following Monday's offer by Battle Mountain Gold Company to buy Crown Resources in a stock swap valued at $69.3 million. The offer, which expires in 15 days, proposes to exchange one Crown Resources share for 0.4375 share in Battle Mountain Gold. Battle Mountain, which is based in Houston, said its offer valued Crown Resources at $5.25 a share. Battle Mountain -- whose shares gained 12.5 cents, to $12.125 -- said its board made the offer in response to a recent inquiry from Crown Resources. However, a statement from Crown Resources, based in Denver, called the offer "unexpected" and said its board was reviewing the proposal.

THREE PEPSICO OFFICIALS SELL SHARES

Pepsico's chairman, another director and its treasurer all sold shares in the company last month as the stock climbed. Wayne Calloway, chairman and chief executive, sold 20,000 shares at $39.75, collecting $795,000 in an option-related transaction, according to the Washington Service. Mr. Calloway still owns 189,936 shares in the company according to a Securities and Exchange Commission filing. Another director, Andrall Pearson, sold 20,000 shares at between $40.75 and $41, collecting $817,500. He retained 134,577 shares. And the treasurer, Randall Barnes, sold 21,319 option-related shares at $39.25, for $836,771. He kept 438 shares. Many option holders exercise rights to buy shares at a pre-set price and then sell the shares at the same time, collecting a profit. Pepsico shares closed up 50 cents yesterday at $41.

MOTOROLA AND AMERICAN SENSORS TO MAKE GAS DETECTOR

American Sensors Inc. and a Motorola Inc. unit said yesterday that they had signed an agreement to develop smaller, more sensitive devices to detect hazardous gas. Motorola's Semiconductor Products Sector, based in Schaumberg, Ill., said it would develop a new thin-film semiconductor technology aimed at improving gas sensors by reducing false alarms and lowering power demands. American Sensors, based in Markham, Ontario, said it planned to use Motorola's new technology in its carbon monoxide detectors. Motorola closed down $1.75 in New York yesterday; in Toronto, American Sensors was up 62.5 cents at $13.125.

APPLE REDUCES PRICES OF POWERBOOK UP TO 27%

Apple Computer Inc. reduced prices yesterday on its Powerbook notebook computers by as much as 27 percent. The company, based in Cupertino, Calif., said it had also added a new configuration to the Powerbook 150 line, with a bigger hard drive at lower prices.

Chrysler Corporation's earnings estimates for this year and next were cut yesterday by a Merrill Lynch & Company analyst because of higher marketing costs and continued competitive pressures. The auto analyst Harvey Heinbach also put Chrysler's stock under review after last week's $55-a-share, or $20.5 billion, takeover proposal from the billionaire Kirk Kerkorian and Lee A. Iacocca, former Chrysler chairman. Chrysler said last week that the company was not for sale. Chrysler shares closed yesterday up 12.5 cents, at $48.

THERMOLASE SURGES ON APPROVAL OF HAIR-REMOVAL LASER

Thermolase Corporation shares surged 70 percent yesterday after the skin-care products maker said the Food and Drug Administration had approved a laser-based long-term hair-removal device. Shares of Thermolase, which is owned by Thermotrex and based in San Diego, closed at $23, up $9.75, in American Stock Exchange composite trading. The hair-removal treatment uses a laser to remove unwanted hair, similar to electrical devices that remove hair follicles. The Lorad division of Thermotrex will make the laser.

MERCK CLEARED BY F.D.A. TO SELL NEW HYPERTENSION DRUG

Merck & Company said yesterday that it had won approval from the Food and Drug Administration to begin marketing Cozaar, a new hypertension drug. Cozaar is part of a new class of hypertension medicines. Analysts have said that Cozaar's annual sales could reach $200 million. The approval was announced after the stock market closed. Earlier, Merck shares closed up 25 cents, to $43.375, on the New York Stock Exchange.
